OffDuty — Terms of Service

1. Acceptance of Terms

By accessing or using Roster Architect and OffDuty (collectively, the "Service"), operated by 9MB Project Limited ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Service. These Terms form a binding agreement between you and 9MB Project Limited only, and not with Apple Inc., Google LLC, or any other platform provider.

2. Description of Service

Roster Architect is a software-as-a-service (SaaS) platform for automated roster and shift scheduling. OffDuty is a companion mobile application for individual staff members to view, manage, and coordinate their schedules. The Service uses constraint-satisfaction programming and AI-assisted tools to generate optimized rosters.

3. User Accounts

You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. OffDuty Premium Subscription

OffDuty offers an auto-renewable subscription called "OffDuty Premium" that unlocks features such as unlimited workgroups and additional scheduling tools. Subscription terms apply equally to purchases made via the Apple App Store and Google Play Store, except where the applicable platform's rules override these terms.

4.1 Billing Cycle & Auto-Renewal

OffDuty Premium is sold as a monthly auto-renewable subscription. Payment is charged to your Apple ID or Google Play account at confirmation of purchase and at the start of each subsequent monthly billing period. The subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period (Apple) or up to 48 hours prior (Google Play).

4.2 Price

The current price is shown on the in-app paywall in your local currency, as reported by the App Store or Google Play at the time of purchase. We may change the renewal price; where consent is required by the platform, we will give you notice and an opportunity to accept or cancel before the new price applies.

4.3 Managing & Cancelling

You can cancel your subscription at any time before the end of the current billing period. Cancellation takes effect at the end of the period; you retain access to paid features until then.

• iOS: Settings → [your name] → Subscriptions, or visit apps.apple.com/account/subscriptions.
• Android:Google Play Store → Profile → Payments & subscriptions → Subscriptions, or visit play.google.com/store/account/subscriptions.

Deleting the OffDuty app does not cancel your subscription — you must cancel through the relevant store as described above.

4.4 Refunds

Refund requests are governed by the platform from which you purchased:

• Apple: request a refund at reportaproblem.apple.com under Apple's standard refund policy.
• Google Play: see Google Play's refund policy. Subscriptions cancelled within the first 48 hours of an initial monthly charge may be eligible for a refund at Google's discretion.

Except as required by applicable law or platform policy, paid subscription fees are non-refundable for the current billing period.

4.5 Free Trials

If a free trial is offered, the trial converts to a paid subscription automatically at the end of the trial unless you cancel before it ends. Only one free trial per user/Apple ID/Google account is permitted per product.

5. Apple-Specific End-User License Terms

The following Section 5 applies only to OffDuty when downloaded from the Apple App Store and is required by Apple Inc.'s minimum end-user license terms. To the extent any term in this Section 5 conflicts with another provision of these Terms, this Section 5 controls for App Store downloads.

5.1 Acknowledgement

You acknowledge that these Terms are concluded between you and 9MB Project Limited only, and not with Apple Inc. ("Apple"). 9MB Project Limited, not Apple, is solely responsible for OffDuty and the content thereof.

5.2 Scope of License

The license granted to you for OffDuty is a non-transferable license to use OffDuty on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. OffDuty may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

5.3 Maintenance and Support

9MB Project Limited is solely responsible for providing any maintenance and support services with respect to OffDuty, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to OffDuty.

5.4 Warranty

9MB Project Limited is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of OffDuty to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for OffDuty (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to OffDuty, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be 9MB Project Limited's sole responsibility.

5.5 Product Claims

You and 9MB Project Limited acknowledge that 9MB Project Limited, not Apple, is responsible for addressing any claims by you or any third party relating to OffDuty or your possession and/or use of OffDuty, including but not limited to: (i) product liability claims; (ii) any claim that OffDuty fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

5.6 Intellectual Property Rights

You and 9MB Project Limited acknowledge that, in the event of any third-party claim that OffDuty or your possession and use of OffDuty infringes that third party's intellectual property rights, 9MB Project Limited, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

5.7 Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

5.9 Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using OffDuty, including but not limited to your wireless data service agreement.

5.10 Third-Party Beneficiary

You and 9MB Project Limited acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms as they relate to your license of OffDuty, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

6. Google Play-Specific Terms

The following Section 6 applies when OffDuty is downloaded from the Google Play Store. Your use of OffDuty is also subject to the Google Play Terms of Service. You acknowledge that Google LLC is not a party to these Terms and is not responsible for OffDuty. Subscription billing, cancellation, and refunds for purchases made via Google Play are handled by Google as described in Section 4.

7. Limitation of Liability

9MB Project Limited provides scheduling tools. Final responsibility for staffing levels, medical safety, and labor law compliance rests entirely with the Organization Manager.

To the maximum extent permitted by applicable law, 9MB Project Limited and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.

The Service is provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the Service's suitability, reliability, availability, or accuracy.

8. Affiliate Disclosure

9MB Project Limited may participate in affiliate marketing programs. Some links within the Service may be affiliate links, and we may earn a commission from qualifying purchases or bookings at no additional cost to you. 9MB Project Limited may receive affiliate compensation for third-party links (e.g., travel or lifestyle bookings) clicked within the application.

9. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of 9MB Project Limited. The Service is protected by copyright, trademark, and other laws of the Hong Kong Special Administrative Region and foreign jurisdictions. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of 9MB Project Limited.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. Termination of your account does not by itself cancel any active App Store or Google Play subscription — you must cancel through the relevant store.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, except where mandatory consumer-protection laws of your country of residence provide otherwise.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Material changes will be notified via the Service or by email. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
